1. What HopStock is
HopStock is a software-as-a-service platform that helps retail chains and their vendors coordinate restocks, markdowns, and chain-wide alerts. These terms govern your use of the HopStock Service. If you are accepting on behalf of a company, you represent that you have authority to do so.
2. Accounts and access
You're responsible for keeping login credentials safe and for everything that happens under your account. SSO is available on the Region and Chain plans and is strongly recommended. Admin actions are logged immutably for audit.
3. Customer data and ownership
Your data is yours. We don't claim ownership of restock requests, SKUs, store rosters, or anything else you put in HopStock. We use customer data only to provide and improve the Service, never to train third-party AI models, and never to sell to anyone.
4. Acceptable use
Don't use HopStock to break the law, infringe on someone's rights, or reverse-engineer the platform. Don't run automated scrapers against the UI; use the API. Vendors can't use HopStock to push restock requests on stores that haven't accepted them as a vendor.
5. Plans, payment, and renewal
Fees, terms, and seat counts are described in your order form. Monthly plans auto-renew monthly; annual plans auto-renew annually with a 60-day heads-up email. You can downgrade at the end of any billing period.
6. Service availability and credits
Chain plan customers have a 99.95% uptime SLA. Region plan customers get a 99.9% target without service credits. When we miss, we issue credits automatically; we don't make you ask.
7. Termination
Either party can terminate for material breach with 30 days' written notice. On termination, we keep your data for 30 days so you can export it, then delete it. Aggregated, anonymized analytics may persist as part of platform metrics.
8. Disclaimers and liability
HopStock is provided AS IS. Our aggregate liability is capped at the amount you paid us in the 12 months preceding the claim. We're not liable for indirect or consequential damages. Nothing here limits liability that cannot be excluded by law.
9. Governing law
These terms are governed by New York state law. Disputes are resolved in state or federal courts in New York County, unless your order form says otherwise.
